Please read these terms and conditions carefully.

These terms (the Terms) explain the rules you must follow when you access or use Travelfusion's services — our API, our internet booking engine (IBE) and tfDesktop (together, the Services). They apply to you as an individual — whether you are an employee of, or an agent acting for, an organisation that has contracted with Travelfusion for the provision of the Services (the Customer). By accessing or using the Services, you agree to these terms. You must only use the Services on behalf of the Customer you act for, for the Permitted Purpose, and in line with the agreement between that Customer and Travelfusion. If you do not agree to these terms, you must not access or use the Services.

1. WHO WE ARE AND WHAT THESE TERMS COVER

1.1. Travelfusion Limited, a company registered in England and Wales (company number 03880175), with its registered office at 70 St Mary Axe, London, England, EC3A 8BE (Travelfusion) runs a travel booking and payment aggregation platform and gives you access to the Services.

1.2. These terms govern your use of the Services. They apply in addition to, and do not replace, the separate agreement between Travelfusion and the Customer under which the Customer is given access to the Services. Some words are given special meanings, which are explained where they first appear or in the definitions at the end.

1.3. When we say "in writing", that includes email. Headings are there to help you navigate and do not change the meaning of any section.

2. YOUR RIGHT TO USE THE SERVICES

2.1. As long as you follow these terms, you may access and use the Services and their content on behalf of the Customer you act for, for the Permitted Purpose — that is, to search for and process travel and travel-related bookings and payments.

2.2. You may not use the Services for any other purpose. In particular, the Services cannot be used to communicate with, or to transmit, publish or make content available to, any other user or Customer of the Services.

2.3. You must only use the Services on behalf of the Customer that authorised your access, and only for the Permitted Purpose. You are personally responsible for all activity carried out using your access and Account Credentials.

2.4. Your right to use the Services cannot be transferred or sub-licensed to anyone else. We may update, change, suspend or withdraw any part of the Services at any time.

2.5. The Services are a business-to-business aggregation and distribution service. Travelfusion sources Supplier Content from Suppliers under commercial supply arrangements and makes it available to the Customer for the Permitted Purpose. The Services do not provide any functionality by which you, the Customer or any other user may generate, upload, share or transmit content so that it may be encountered by any other user of the Services. Any data you submit through the Services (including booking request information) is transmitted only to the relevant Supplier and/or payment provider to fulfil the Permitted Purpose, and is not published on the Services or made available to, or encountered by, any other user or Customer.

3. BOOKINGS AND SUPPLIERS

3.1. Suppliers provide the Supplier Content and travel products. Travelfusion sources the Supplier Content under commercial supply arrangements with the Suppliers and provides an aggregation and distribution service to deliver the Supplier Content to its Customers.

Travelfusion does not

own or control the providers of travel products (airlines, rail operators, hotels and other travel providers) that you can access through the TF Site (the Suppliers). Each travel product is owned, controlled or made available by the Suppliers, and the Suppliers alone are responsible for the Supplier Content. Travelfusion is not responsible for the content of any external sites and it has no control over whether a Supplier available on the TF Site accepts your booking request.

3.2. Prices. Travelfusion is not a Supplier, so it does not set the prices of travel products and cannot warrant or guarantee the prices shown on the TF Site. Some travel products may be sold in a currency that does not match a pre-set currency or the currency you chose for the display of your search results. Any currency conversion shown on the TF Site is for information purposes only and should not be relied on as accurate or real time; actual rates may vary, and your payment provider (for example, your credit card company, or Travelfusion where it acts as the merchant of payment) may charge conversion fees and apply a different date's exchange rate.

3.3. Supplier terms. You can only make a booking request for the services provided by the Suppliers which are made available on the TF Site. All bookings are made with the Suppliers and are subject to the terms and conditions of the relevant Supplier, including its conditions of carriage and any other terms made available during the booking process. These Supplier terms may cover matters such as passenger transportation and baggage (including dangerous goods), cancellations, rebooking and refunds, payment, delays, annulments and denied boarding, liability, and additional booking and fare rules. It is the responsibility of the traveller to comply with, the Suppliers' terms and conditions. If the traveller does not observe and comply with the Supplier rules, they may be refused travel. Travelfusion has no control over any of these matters.

3.4. The travel contract. The contract for any booking request you submit, or any booking you make on behalf of the traveller, through the TF Site is between the traveller and the Supplier, and shall be subject to the applicable Supplier terms mentioned above. Travelfusion is not a party to that contract. When you submit a booking request through the TF Site, you do so as agent for the Customer and/or the traveller, and a binding contract is formed between the traveller and the relevant Supplier. You are not personally a party to that contract. You authorize Travelfusion to pass the booking request information to the appropriate Supplier and to authorise the payment required to complete the booking. Booking request information is routed only to the appropriate Supplier. No booking, booking request or other information you submit is visible to, shared with, or capable of being encountered by, any other user or Customer of the Services.

3.5. Confirmations and tickets. Subject to the availability of the travel product at the time of booking, booking confirmations and tickets are issued electronically immediately upon receipt of payment in full.

3.6. Accurate information. You must provide the Suppliers with complete, accurate and correct information, and all data necessary to complete any booking - especially the information and data (including personal data) necessary to comply with any Supplier's terms and conditions, and for billing and issuing tickets (itinerary, delivery and so on) - whether requested during the booking or at any time before or after. Travelfusion is not responsible for any loss, additional cost, or any other issue or complication that may arise as a result of your failure to provide complete and accurate information.

3.7. Supplier queries. You must refer all queries about a booking directly to the relevant Supplier, not to Travelfusion. The traveller must read the Supplier's terms and conditions and visit its website for any information they need about their booking, details of your Supplier and its liability for injuries, damage or delays.

3.8. Matters outside Travelfusion's control. Travelfusion has no control over, or dealings with, any of the following, and is not responsible for them:

(a) Travel documents - the documents the traveller must show to prove their right of carriage, travel or stay. It is the traveller’s responsibility to be in possession of all necessary and valid travel documents for their journey, travel or stay, as well as any necessary identification.

(b) Cancellations and changes - Suppliers reserve the right to make changes to schedules and to cancel confirmed bookings. Please contact the Supplier directly if you have any questions or would like to cancel or change your booking. Travelfusion has no control over, and is not responsible for, such schedule changes or cancellations.

(c) Carriage and check-in - carriage and check-in closing times, which the traveller must observe, failing which they may be refused travel or stay.

(d) Online check-in – the traveller is solely responsible for checking in online in advance where a Supplier requires it.

4. KEEPING YOUR ACCOUNT AND ACCESS SECURE

4.1. In order to use the Services, you are required to create an account which will contain certain personal details. You must:

(a) keep all your account details — usernames, passwords, security tokens, API keys and similar (your Account Credentials) — confidential at all times, and not share them with anyone who is not authorised;

(b) only use the API with your own API key, and keep that API key confidential at all times; and

(c) take responsibility for everything that happens under your Account Credentials and API key.

4.2. You must put in place suitable technical and organisational security measures to protect your Account Credentials and any data sent through the Services, including steps to stop anyone accessing or using the Services without permission. Subject to clause 10, Travelfusion is not responsible for any losses or damages arising as a result of your failure to keep your Account Credentials confidential.

4.3. If you become aware of any actual or suspected security breach affecting the API, you must tell us in writing straight away.

Please be aware that bookings, orders or payments cannot be

cancelled by Travelfusion after the provision of Services has commenced, or where a booking has been confirmed, an order has been completed or payments have been made. In the event that an unauthorised provision commences prior to your notifying us of the unauthorised nature of the booking, order or payment, Travelfusion accepts no liability or responsibility and you should make contact with the relevant Supplier.

5. THINGS YOU MUST NOT DO

5.1. You must not:

(a) interfere with, damage or disrupt how the Services work;

(b) try to access the API, the Services, their content or any related networks, systems or accounts without permission;

(c) attack the security of any computer, network or system we use to run the Services, or get around any access restrictions or protective technology;

(d) modify, adapt, translate, reverse engineer, take apart or decompile the API or any other Services, or try to discover their source code — except where the law expressly allows it;

(e) introduce, send or upload any harmful code — such as viruses, worms, Trojan horses, malware or software locks — or anything else that could damage or disrupt our data, Services or systems;

(f) copy, scrape, index, harvest, mine or extract data from the Services, whether automatically or otherwise, for anything other than what these terms expressly allow;

(g) resell, sub-licence, distribute, cache, repackage or otherwise pass on the Services or their content to anyone else;

(h) create a link from any website, including any website controlled by you, to the TF Site, including any website controlled by you;

(i) infringe our intellectual property rights, or anyone else's, when using the Services;

(j) use the Services in any unlawful way or for any illegal or improper purpose; or

(k) use the Services in any way that could reasonably be expected to harm our business, reputation or commercial interests.

5.2. You must comply with all applicable laws when using the Services, including anti-bribery and anti-corruption laws such as the Bribery Act 2010.

6. INTELLECTUAL PROPERTY

6.1. We (or those who license to us) own all rights in the Services and their content. Using the Services does not give you any ownership rights in them, apart from the limited licence set out in clause 2.1.

6.2. You must not remove, hide or change any ownership notices, trade marks or other markings on the Services or their content.

6.3. You keep ownership of your own materials. You give us a non-exclusive, royalty-free licence to use any materials you provide, but only as far as we need to in order to provide the Services.

6.4. The TF Site may contain links to other websites. Unless expressly stated, these websites are not under the control of Travelfusion. Travelfusion assumes no responsibility for the content of such websites and disclaims liability for any and all forms of losses or damages arising out of the use of them. The inclusion of a link to another site on the TF Site does not imply any endorsement of the websites themselves or of those in control of them.

You should refer to the separate terms of

use, privacy policies, and other rules posted on those separate sites before you use them.

7. KEEPING INFORMATION CONFIDENTIAL

7.1. Each of us agrees to keep the other's Confidential Information private, and to use it only for the Permitted Purpose.

7.2. You must treat all Confidential Information you receive from us as confidential and must not share it with anyone else, unless:

(a) it is necessary to carry out your obligations under these Terms; and

(b) we have given our prior written consent.

7.3. You or we may share the other's Confidential Information with employees, officers, representatives or advisers who need it to carry out the Permitted Purpose (as long as they are bound to keep it confidential), or where the law, a court or a regulator requires it. If disclosure is legally required, the party disclosing it will, where allowed, give the other as much notice as reasonably possible.

7.4. These confidentiality rules do not apply to information that:

(a) you or we already lawfully held before receiving it from the other;

(b) was received in good faith from someone else entitled to share it; or

(c) becomes public through no fault of the party receiving it.

8. DATA PROTECTION

8.1. In using the Services, each of us will comply with all applicable data protection laws, including the UK GDPR and the Data Protection Act 2018, and will not do anything that puts the other in breach of them.

8.2. Each of us will keep appropriate technical and organisational measures in place to protect any personal data handled through the Services against unauthorised or unlawful use, and against accidental loss, destruction or damage.

8.3. Where the way we handle personal data through the Services calls for a data processing agreement or specific terms under data protection law, we will put those terms in place.

8.4. Travelfusion’s Privacy Policy is incorporated into these terms and conditions. A copy of the policy is available on our Website.

9. OUR PROMISES AND WHAT WE DON'T GUARANTEE

9.1. Each of us confirms that it has the authority to enter into and perform its obligations under these Terms. You further confirm that you are duly authorised by the Customer to access and use the Services on the Customer's behalf.

9.2. You promise that:

(a) you will comply with these Terms and all applicable laws when using the Services; and

(b) you will not use the Services in any way that infringes anyone else's intellectual property or other rights.

9.3. To the fullest extent permitted by law, and except as expressly set out in these Terms, the Services and their content are provided "as is". We give no other warranties or terms of any kind — express, implied or statutory — including any implied warranties or terms of satisfactory quality, fitness for a particular purpose or non-infringement. In particular, we do not warrant that the Services will meet your needs, be accurate, complete or up to date, be uninterrupted or always available, or be free from errors or faults. This clause is subject to clause 10.

9.4. You agree that Travelfusion is in no way responsible for the accuracy, timeliness or completeness of information it may obtain from the Suppliers. When you book travel products with the Suppliers through the TF Site, the Suppliers are responsible for the booking and/or the products and all liability associated therewith, and not Travelfusion. Your dealings with any of the Suppliers accessed through the TF Site is at your own risk, and Travelfusion will have no liability with respect to the acts, omissions, errors, representations, warranties, breaches or negligence of any of the Suppliers or for any personal injuries, death, property damage, or other damages or expenses resulting from your dealings with any of the Suppliers.

10. LIABILITY

10.1. Nothing in these Terms limits or excludes Travelfusion's liability for: (a) death or personal injury

caused by its negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be limited or excluded. Subject to the foregoing, and except as expressly set out in these Terms: (i) Travelfusion shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, loss of business, loss of goodwill, loss of anticipated savings, or any indirect, special or consequential loss; and (ii) Travelfusion's total aggregate liability to you arising out of or in connection with these Terms and your use of the Services shall not exceed one hundred pounds (£100). This clause 10 is without prejudice to, and does not increase, Travelfusion's liability to the Customer under the separate agreement between Travelfusion and the Customer.

10.2. Travelfusion is not liable for any damage, harm or loss arising out of any actions or omissions of

any Suppliers or other third parties. Neither is Travelfusion liable for any damage, harm or loss arising out of your actions or omissions that are contrary to these Terms.

11. HOW THIS AGREEMENT CAN END

11.1. These Terms apply from the first time you access or use the Services, and continue to apply until your access ends or your account is terminated in line with this clause 11.

11.2. We may terminate your account, or suspend your access, immediately by written notice if you breach clause 4 (keeping access secure) or, where it is necessary and without notice, we may suspend, limit or switch off your access to the Services — including to protect the security or integrity of the Services or if Travelfusion considers you to be in breach of or not observing or complying with any of these Terms.

11.3. Termination or expiry of your access does not affect any rights, remedies, obligations or liabilities that have accrued up to the date of termination. Clauses 6 (Intellectual Property), 7 (Confidentiality), 8 (Data Protection), 9.3, 9.4, 10 (Liability), 12 and 13, and any other provision intended to survive, continue in force after termination. On termination you must immediately stop using the Services.

12. OTHER IMPORTANT TERMS

12.1. Entire agreement: These Terms, together with the separate agreement between Travelfusion and

the Customer under which the Customer is given access to the Services, is the whole agreement between us on this subject and replaces any earlier agreements or understandings. Each party acknowledges that in entering into these Terms it does not rely on, and has no remedy in respect of, any statement or representation not expressly set out in these Terms. Nothing in this clause limits or excludes any liability for fraud or fraudulent misrepresentation.

12.2. Relationship with the Customer agreement: These Terms are supplemental to the separate

agreement between Travelfusion and the Customer and do not reduce, vary or replace the Customer's obligations or liability to Travelfusion under that agreement. In the event of any conflict, the Customer agreement prevails in respect of the Customer's rights and obligations, and these Terms prevail in respect of your personal access to and use of the Services.

12.3. Transferring rights: You may not assign, sub-contract or otherwise transfer your rights or

obligations without our prior written consent. We may assign, novate or sub-contract ours.

12.4. Changes to these terms: We may change these Terms from time to time. We will post the

updated Terms on the TF Site and, where the changes are material, take reasonable steps to notify you (for example, on next login or by email). Your continued use of the Services after the updated Terms take effect constitutes your acceptance of them. If you do not agree to the updated Terms, you must stop using the Services.

12.5. Not enforcing a right: If either of us delays or does not enforce a right, that does not mean we

give it up.

12.6. If part is invalid: If any part of these terms turns out to be invalid or unenforceable, it will be

removed and the rest will continue to apply.

12.7. Notices: Any formal notice must be in writing and delivered by hand, prepaid recorded post or

email to the address in the relevant order form or registration, or any other address notified in writing.

12.8. No partnership or agency: Nothing here creates a partnership or joint venture between us, makes

either of us the other's agent (or Travelfusion an agent of the traveller), or allows either of us to make commitments for the other.

12.9. Court remedies: You accept that unauthorised use of the Services could cause us serious harm

that money alone cannot fix, so we may ask a court to stop it (injunctive relief) in addition to any other remedy.

12.10. Third party rights: A person who is not a party to these Terms shall not have any rights under the

Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms. This does not affect any right or remedy of a third party which exists, or is available, apart from that Act.

12.11. Events beyond our control: Travelfusion shall not be liable for any failure or delay in performing its

obligations, or for any unavailability of or interruption to the Services, to the extent caused by any event or circumstance beyond its reasonable control, including any failure of a Supplier, internet, telecommunications or hosting failure, cyber-attack or denial-of-service attack, power failure, act of God, epidemic or pandemic, act of government or regulator, or industrial dispute. Travelfusion’s obligations are suspended for the period the event continues.

13. GOVERNING LAW AND COURTS

13.1. These Terms, and any dispute or claim arising out of or in connection with them, is governed by

the law of England and Wales.

13.2. Both of us agree that the courts of England and Wales have exclusive jurisdiction to settle any

such dispute or claim.

14. DEFINITIONS

14.1. In these terms, the following words have these meanings:

"Account Credentials" means all usernames, passwords, security details, tokens, API keys and other access or authentication details issued to or created by you to access the Services; "API" means Travelfusion's application programming interface and related software, data and content, as updated from time to time; "API Key" means the unique access key(s) we give you when you register for the API; "Confidential Information" means the existence and content of these Terms and the Customer agreement and all information a party has or acquires that relates to the other's business, products, developments, trade secrets, know-how or dealings with clients, customers or suppliers, and anything else marked confidential or which ought reasonably to be treated as confidential; "Customer" means the organisation (such as your employer or the business you act for) that has registered to use the Services and on whose behalf you access or use them; "you" or "User" means the individual — an employee or agent of the Customer — who accesses or uses the Services, and for whose activity the Customer remains responsible to Travelfusion; "IBE" means Travelfusion's internet booking engine service, as updated from time to time; "Permitted Purpose" means using the Services to search for, present and process travel and travel-related bookings and payments, plus anything else we agree in writing;

"Supplier" (and "Suppliers") means the airlines, rail operators, hotels and other providers of travel products whose products can be accessed through the TF Site, and which own, control or make available those products;

Supplier Content” means the fares, availability, schedules, travel product descriptions and other content that Suppliers own, control or make available, which Travelfusion sources under commercial supply arrangements and distributes to Customers. Supplier Content is provider content made available by Travelfusion; it is not generated, uploaded or shared by users of the Services;

"TF Site" means the Travelfusion website and platform through which the Services and travel products are made available; "tfDesktop" means Travelfusion's desktop application and related software, as updated from time to time; and "UK GDPR" means the UK General Data Protection Regulation, together with the Data Protection Act 2018 and other applicable data protection laws, as amended from time to time.

We keep these Terms under regular review. This version was last updated on 4 August 2026.
